Annual Pest Management Contract

These Terms and Conditions (“Agreement”) govern the relationship between Pest Dominion Limited (“Pest Dominion,” “we,” “us,” or “our”) and the customer (“Customer,” “you,” or “your”) seeking pest control services for their commercial premises under an annual contract.

By entering into this Agreement, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. Services

Pest Dominion shall provide pest control services (“Services”) as outlined in the Service Agreement. The specific Services will be detailed in a separate document incorporated by reference.

2. Pests Covered

3. Term

This Agreement shall commence on the Effective Date and shall continue for a period of twelve (12) months (“Contract Term”), unless terminated earlier in accordance with Section 8 of this Agreement.

4. Payment

4.1 Fees: Customer agrees to pay the fees for Services as specified in the Service Agreement. All or the first payment must be made in advance before the commencement of work, unless different payment terms are agreed in writing.

4.2 Late Payments: Any payments not received within thirty (30) days of the invoice date shall incur a late fee of [insert percentage] per month, or the maximum allowable by law, whichever is less.

4.3 Access Visit Charges: An access visit will incur a charge of £50 unless the appointment is rescheduled at least twenty-four (24) business hours in advance (Monday to Friday, 10:00 – 16:00 local time).

5. Customer Obligations

5.1 Hygiene and Safety: Customer agrees to maintain proper hygiene standards at the premises, including but not limited to:

• Regular bin collection.
• Keeping bin lids tightly closed overnight.
• Emptying internal bins into external bins overnight.
• Covering and sealing all cooked and uncooked food in appropriate containers.

6. Limitations of Liability

6.1 Exclusions: Pest Dominion shall not be liable for any direct or indirect damages arising from the performance or non-performance of Services, including but not limited to non-functional products or interference by third parties beyond our control.

6.2 Maximum Liability: Pest Dominion’s total liability shall be zero, except where stated by law or in the direct result of a court claim, in which case liability shall not exceed the total price paid for the Services under this Agreement.

7. Warranties

Pest Dominion warrants that the Services will be performed in a professional manner in accordance with industry standards. This warranty is limited to the re-treatment of any areas found to be ineffective as a result of the Services provided.

8. Indemnification

Customer agrees to indemnify, defend, and hold harmless Pest Dominion from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or resulting from Customer’s negligence or willful misconduct.

9. Termination

9.1 Termination for Convenience: Either party may terminate this Agreement without cause by providing thirty (30) days written notice to the other party.

9.2 Termination for Cause: Pest Dominion may terminate this Agreement immediately for cause if Customer fails to pay any fees when due or breaches any other terms of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under this Agreement shall be resolved in the courts of the United Kingdom.

11. Amendments

No modification of this Agreement shall be effective unless in writing and signed by both parties.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, or understandings.

13. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

14. Notices

All notices required under this Agreement shall be in writing and shall be deemed duly given when delivered personally, sent via mail, or sent via electronic mail or by hand to the addresses specified in the Service Agreement.
